Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Trazo Travel mobile application (the "App") operated by Trazo Ventures LLC ("Trazo Ventures," "we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By creating an account or using any feature of Trazo Travel, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction), have read and understood these Terms, and agree to be legally bound by them. If you are using the App on behalf of an organization or group, you represent and warrant that you have the authority to bind that group to these Terms.

2. Description of Service

Trazo Travel is a group travel planning application designed to help users organize, coordinate, and manage travel experiences with others. The App currently provides the following organizational tools:

Important: Trazo Travel does not currently offer booking integrations, travel reservations, or ticketing services of any kind. We are a planning and organizational platform only. Any bookings for flights, accommodations, activities, or transportation must be made independently through third-party providers. We are not responsible for any such bookings or transactions.

3. Subscription Plans and Billing

3.1 Subscription Tiers

Access to Trazo Travel's features is provided through paid subscription plans. Details regarding available tiers, pricing, and included features are presented within the App and on our website. We reserve the right to modify, add, or discontinue subscription tiers at any time with reasonable notice to users.

3.2 Billing and Payment

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) through the applicable app store platform (Apple App Store or Google Play Store). By subscribing, you authorize the applicable platform to charge your payment method on a recurring basis until you cancel your subscription.

3.3 Free Trials

We may offer free trial periods for new users. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. You will be notified of this in advance within the App.

3.4 Cancellation

You may cancel your subscription at any time through your app store account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that date. We do not provide pro-rated refunds for partial subscription periods unless required by applicable law.

3.5 Price Changes

We may change subscription pricing at any time. We will provide at least 30 days' advance notice of any price changes through email or in-app notification. Your continued use of the App after a price change takes effect constitutes your agreement to the new pricing.

4. Account Registration and Security

To use Trazo Travel, you must create an account using accurate, complete, and current information. You are responsible for:

You may not share your account with others or create multiple accounts for the purpose of circumventing subscription limits. We reserve the right to terminate accounts that violate these Terms.

5. User Content

5.1 Your Content

You retain ownership of any content you submit, post, or display through the App, including itineraries, messages, photos, and other materials ("User Content"). By submitting User Content, you grant Trazo Ventures a non-exclusive, worldwide, royalty-free license to use, store, display, and reproduce your User Content solely for the purpose of operating and improving the App.

We reserve the right, but not the obligation, to review, edit, or remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not responsible for any User Content posted by users.

The App may contain links to or integrations with third-party websites, services, or platforms ("Third-Party Services"). These are provided for your convenience only. We do not endorse, control, or assume responsibility for any Third-Party Services, their content, privacy practices, or terms. Your use of any Third-Party Services is governed solely by that service's own terms and policies.

As noted in Section 2, Trazo Travel does not currently facilitate bookings through third-party travel providers. Any travel reservations you make through external providers are entirely between you and those providers.

8. Intellectual Property

The App and all of its content, features, and functionality — including but not limited to the Trazo Travel name, logo, interface design, software, and documentation — are owned by Trazo Ventures LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, sublicense, or create derivative works based on any part of the App without our prior written consent.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our collection and use of your personal information as described in the Privacy Policy. We encourage you to review the Privacy Policy carefully.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRAZO VENTURES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Trazo Ventures does not warrant or make any representations regarding the results that may be obtained from use of the App, or the accuracy or reliability of any information or content obtained through the App.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRAZO VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

12. Indemnification

You agree to defend, indemnify, and hold harmless Trazo Ventures LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@trazotravel.com and attempt to resolve the dispute informally. We will attempt to resolve the matter within 30 days of receiving your notice.

13.3 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in New York, New York. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

14. Termination

We may suspend or terminate your account and access to the App at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the App will immediately cease.

You may terminate your account at any time by canceling your subscription and deleting the App. Sections that by their nature should survive termination — including Sections 5, 8, 10, 11, 12, and 13 — will survive any termination of these Terms.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or in-app notification and update the "Last Updated" date above. Your continued use of the App after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the App and cancel your subscription.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trazo Ventures with respect to the App and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
